Welcome to Upvotics. These Terms of Service ("Terms") govern your access to and use of Upvotics' Chrome extension, website, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

Please read these Terms carefully before using our Service. If you do not agree with any part of these Terms, you must not use our Service.

1. Definitions

• "Upvotics," "we," "us," or "our" refers to the Upvotics service and company
• "User," "you," or "your" refers to any individual or entity using the Service
• "Service" refers to the Upvotics Chrome extension, website, and all related services
• "Content" refers to any data, information, or materials accessed through the Service
• "Reddit" refers to the Reddit platform and its services
• "Account" refers to your registered Upvotics user account

2. Acceptance of Terms

2.1 Agreement to Terms

By creating an account, installing our Chrome extension, or using any part of our Service, you agree to:

• Be bound by these Terms of Service
• Comply with our Privacy Policy
• Comply with Reddit's User Agreement and Content Policy
• Use the Service in accordance with all applicable laws and regulations

2.2 Age Requirements

You must be at least 13 years old (or 16 in the EU) to use Upvotics. By using our Service, you represent and warrant that you meet this age requirement. If you are under 18, you must have permission from a parent or legal guardian to use the Service.

2.3 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice in the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

3. Account Registration and Security

3.1 Account Creation

To use Upvotics, you must:

• Create an account with a valid email address
• Connect your Reddit account via OAuth authentication
• Provide accurate and complete information
• Maintain the accuracy of your account information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring you log out from shared or public computers

3.3 Account Restrictions

You may not:

• Share your account with others
• Create multiple accounts to circumvent restrictions or abuse the Service
• Use another person's account without permission
• Sell, transfer, or assign your account to others

4. Free Trial and Subscription Plans

Upvotics offers the following subscription plans:

• Free Trial: 7 days with full access to all features
• Monthly Plan: Billed monthly with access to all premium features

4.3 Billing and Payments

• All payments are processed securely through Dodo Payments
• Subscriptions automatically renew at the end of each billing cycle
• You authorize us to charge your payment method for recurring subscription fees
• Prices are in USD unless otherwise stated
• You are responsible for all applicable taxes

4.4 Payment Information Updates

You must keep your payment information current. If a payment fails, we will:

• Attempt to notify you via email
• Retry the payment automatically
• Suspend or terminate your account if payment issues persist

4.5 Price Changes

We may change subscription prices at any time. For existing subscribers:

• We will provide at least 30 days' notice before any price increase
• The new price will apply at your next renewal date
• You can cancel before the renewal date to avoid the new pricing

5. Cancellation and Service Access

5.1 How to Cancel

You can cancel your subscription at any time through:

• Your account dashboard settings
• Contacting our support team at support@upvotics.com

5.2 Effect of Cancellation

5.3 Free Trial Cancellation

If you cancel during the 7-day free trial:

• You will NOT be charged
• You can continue using premium features until the trial ends
• Your account will not automatically convert to a paid plan

6. Reddit Integration and OAuth

6.1 Reddit Account Connection

Upvotics requires connection to your Reddit account to function. By connecting your Reddit account:

• You grant us read-only access to your Reddit account information
• You authorize us to use Reddit's API on your behalf
• You acknowledge that we will access Reddit data in accordance with our Privacy Policy

6.2 Compliance with Reddit's Terms

You agree to:

• Comply with Reddit's User Agreement and policies while using Upvotics
• Use Upvotics in a manner consistent with Reddit's API Terms of Use
• Not use Upvotics to violate Reddit's rules or circumvent Reddit's restrictions

6.3 Reddit Service Interruptions

Upvotics depends on Reddit's API. We are not responsible for:

• Reddit service outages or API changes
• Reddit rate limiting or access restrictions
• Changes to Reddit's features or functionality
• Reddit's modification or termination of API access

6.4 Revoking Access

You can revoke Upvotics' access to your Reddit account at any time through:

• Reddit's app preferences (reddit.com/prefs/apps)
• Logging out of Upvotics
• Note: Revoking access will prevent Upvotics from functioning properly

7. Acceptable Use Policy

7.1 Permitted Use

You may use Upvotics to:

• Analyze your Reddit activity and engagement
• View analytics and insights about your Reddit presence
• Enhance your Reddit browsing experience
• Track your Reddit performance metrics

7.2 Prohibited Activities

7.3 Enforcement

If you violate this Acceptable Use Policy:

• We may suspend or terminate your account immediately
• You will not be entitled to a refund
• We may report violations to law enforcement if necessary
• You may be held liable for damages resulting from your violations

8. Refund Policy

8.1 Exception: Technical Issues

We may consider refunds in exceptional circumstances, such as:

• You were charged in error (duplicate charges, etc.)
• The Service was completely unavailable for an extended period
• Other technical failures on our end that prevented service delivery

8.2 Cancellation vs. Refund

Important distinction:

• Cancellation: Stops future charges but does not refund past payments
• Refund: Not available for standard subscription payments
• You can cancel anytime to prevent future charges (see Section 5)

9. Intellectual Property Rights

9.1 Upvotics' Intellectual Property

The Service, including its software, design, text, graphics, logos, and functionality, is owned by Upvotics and protected by:

• Copyright laws
• Trademark laws
• Trade secret laws
• Other intellectual property rights

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your personal, non-commercial use
• Install the Chrome extension on devices you control

This license does not allow you to:

• Copy, modify, or create derivative works of the Service
• Distribute, sell, or sublicense the Service
• Remove copyright or proprietary notices

9.3 Trademarks

"Upvotics" and associated logos are trademarks of Upvotics. You may not use our trademarks without prior written permission.

9.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without compensation or attribution.

10. Disclaimers and Warranties

10.1 "AS IS" Service

We do not guarantee that:

• The Service will meet your specific requirements
• The Service will be available at all times
• Errors or defects will be corrected
• The Service is free from viruses or harmful components
• Using the Service will improve your Reddit engagement or success

10.3 Third-Party Services

The Service relies on Reddit's API and other third-party services. We are not responsible for:

• Availability or functionality of third-party services
• Changes to third-party APIs or policies
• Content or conduct on Reddit or other platforms

11. Limitation of Liability

11.1 Exceptions

Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Upvotics and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your Reddit activity while using Upvotics
• Any content you post or share while using the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription (see Section 5)
• Deleting your account through account settings
• Contacting support@upvotics.com

13.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms
• You engage in prohibited activities (see Section 7)
• Your payment fails or chargebacks occur
• We suspect fraudulent or illegal activity
• We discontinue the Service (with 30 days' notice for paid subscribers)

13.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• Your data may be deleted according to our Privacy Policy
• You remain liable for any outstanding payments
• No refunds are provided for early termination (except as noted in Section 8)
• Sections that should survive termination (liability, indemnification, etc.) remain in effect

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@upvotics.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 60 days.

14.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except:

• Small claims court matters (below the jurisdictional limit)
• Intellectual property disputes
• Injunctive relief necessary to prevent irreparable harm

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

15.2 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Upvotics regarding the Service.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

15.6 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control (natural disasters, war, pandemics, internet failures, etc.).

15.7 Notices

We may provide notices to you:

• Via email to the address associated with your account
• Through the Service interface
• By posting on our website
